We are Ridgeback Investigations LLC, doing business as Ridgeback Investigations (“Company,” “we,” “us,” or “our”), a limited liability company registered in Michigan, United States, at 1690 Watertower Place, Suite 100 #128, East Lansing, MI 48823.

We operate the website https://www.ridgebackpi.com (the “Site”), together with any related products and services that link to these terms (collectively, the “Services”).

These Legal Terms form a binding agreement between you, whether personally or on behalf of an entity (“you”), and Ridgeback Investigations LLC, concerning your use of the Services. By using the Services, you confirm that you have read, understood, and agreed to these Legal Terms. If you do not agree with all of these Legal Terms, you must stop using the Services.

We may update these Legal Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after a change takes effect means you accept the revised terms, so please review them periodically. We recommend that you keep a copy for your records.

The Services are intended for users who are at least 18 years old.

1. Our Services and the nature of this website

The Site provides general information about our investigative services and lets you submit a confidential referral. The information on the Site is for general purposes and may be updated or corrected at any time.

Using the Site, submitting a referral, or contacting us does not by itself create a professional, contractual, or confidential relationship. A relationship begins only when we accept a matter in writing through a separate engagement agreement. Our investigative services are governed by that engagement agreement rather than by these Legal Terms.

The Site is not a channel for transmitting Social Security numbers, protected health information, or other sensitive regulated data, except through the secure intake process we provide for that purpose. Those who access the Services from locations where doing so would be unlawful are responsible for compliance with their local laws.

2. Intellectual property rights

We own or license all intellectual property rights in the Services, including the source code, databases, functionality, website designs, text, photographs, graphics, and the trademarks, service marks, and logos contained in them (the “Content” and “Marks”). The Content and Marks are protected by United States and international law.

We grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and to view, download, or print Content for your personal use or internal business purpose. Any other use, including copying, republishing, distributing, selling, or exploiting the Content or Marks for a commercial purpose, requires our prior written permission. If you send us any question, comment, suggestion, idea, or other feedback about the Services (“Submissions”), you agree that we may use it without restriction or compensation to you, and you confirm that the Submission is yours to share. By using the Services, you represent that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are at least 18 years old; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any unlawful purpose; and (5) your use will comply with applicable law.

You agree that you will not: systematically collect data from the Services to build a database without our permission; deceive or mislead us or other users; circumvent or interfere with security features; upload malicious code; place an undue burden on the Services; or use the Services to harass or harm any person.

6. Purchases and payment

We accept payment by check. You agree to provide current, complete, and accurate billing information. Sales tax will be added where required. Prices are in US dollars and may change. We may refuse or cancel any order. All sales are final and no refund will be issued.

7. Third-party websites and content

The Services may link to third-party websites or display third-party content. We do not control and are not responsible for third-party websites or content, and a link does not imply our endorsement. If you visit a third-party website, you do so at your own risk and subject to that site’s terms.

8. Services management

We may, but are not obligated to, monitor the Services for violations of these Legal Terms, take appropriate legal action, and manage the Services to protect our rights and keep them functioning properly.

9. Privacy

These Legal Terms remain in effect while you use the Services. We may deny access to the Services to anyone, at any time, for any lawful reason, at our discretion.

We may change or remove the contents of the Services at any time and without notice. We do not guarantee that the Services will always be available, and we are not liable for any interruption or discontinuance.

12. Governing law

These Legal Terms and your use of the Services are governed by the laws of the State of Michigan, without regard to its conflict of law principles.

13. Dispute resolution

Any legal action arising out of these Legal Terms or the Services will be brought in the state or federal courts located in Ingham County, Michigan, and you consent to that jurisdiction and venue.

The Services may contain typographical errors, inaccuracies, or omissions. We may correct any errors and update information at any time without prior notice.

15. Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU USE THE SERVICES AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE OF THEM.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

17. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, arising out of your use of the Services, your breach of these Legal Terms, or your violation of the rights of a third party.

18. Electronic communications

Visiting the Services, emailing us, and completing online forms are electronic communications. You consent to receive communications from us electronically and agree that electronic agreements, notices, and records satisfy any legal requirement that they be in writing.

21. Miscellaneous

These Legal Terms, together with any policies we post, are the entire agreement between you and us. Our failure to enforce any right or provision is not a waiver. If any provision is found unlawful or unenforceable, it is severable and does not affect the remaining provisions.
